Canadian investment firm Fairfax Financial Holdings is set to acquire a controlling 60.72% stake in IDBI Bank for ₹52,878 crore after the Union Cabinet approved the transaction on Wednesday, October 14.
The deal, described by the government as a 'strategic restructuring', brings a nine-year journey of financial recovery, regulatory intervention and repeated attempts at privatisation to a crucial stage.
Following the transaction, the central government's stake in IDBI Bank will decline from 45.5% to around 15%, while Life Insurance Corporation of India's holding will fall from 49.2% to approximately 19%.
The acquisition will give Fairfax, led by Indian-origin Canadian billionaire Prem Watsa, management control of the lender. The government has described the transaction as the largest foreign direct investment (FDI) in India's financial sector to date.
IDBI Bank's financial troubles intensified in 2017 as mounting non-performing assets (NPAs) and weak profitability placed pressure on its balance sheet.
In May 2017, the Reserve Bank of India brought the lender under its Prompt Corrective Action (PCA) framework after it breached key regulatory thresholds relating to capital adequacy, asset quality, profitability and leverage. The bank's net NPA ratio had exceeded 13% in March that year.
A major turning point came in January 2019 when LIC acquired a 51% controlling stake in IDBI Bank. The insurer infused ₹21,624 crore into the lender through preferential share allotments, providing much-needed capital support.
As the government's direct shareholding fell below 51%, the RBI subsequently classified IDBI Bank as a private-sector bank for regulatory purposes. The bank gradually strengthened its financial position, and in March 2021, the RBI removed it from the PCA framework after nearly four years.
The government's plans to sell its stake in IDBI Bank gained momentum in May 2021 when the Cabinet Committee on Economic Affairs (CCEA) approved strategic disinvestment along with the transfer of management control.
In October 2022, the government formally invited expressions of interest for a combined 60.72% stake, comprising 30.48% held by the Centre and 30.24% by LIC.
Multiple prospective investors expressed interest by January 2023. The process subsequently moved through security clearances, regulatory scrutiny and assessments of potential buyers.
However, completing the transaction proved difficult. Financial bids were invited in January 2026, with Fairfax Financial Holdings and Dubai-based Emirates NBD emerging as bidders in February.
The government put the sale process on hold in March after the bids reportedly fell below its reserve price.
The process was revived in April, followed by updated financial offers from the two bidders in July. The latest Cabinet approval clears the way for Fairfax to acquire a controlling stake.
For the government, the transaction represents a significant step in its efforts to reduce direct ownership of commercial banks while retaining a minority stake in IDBI Bank.
LIC will also remain a substantial shareholder despite giving up its controlling position. For Fairfax, the acquisition offers a major opportunity to expand its presence in India's banking sector through an established lender with a nationwide branch network and an existing customer base.
The ₹52,878-crore transaction also signals renewed foreign investor interest in India's financial services sector. Unlike a conventional government stake sale, the transaction involves the combined divestment of holdings by both the Centre and LIC, alongside the transfer of management control.
The government's decision to describe the deal as a strategic restructuring rather than a strategic disinvestment marks a change in how it is positioning the transaction.
With the Cabinet's approval, IDBI Bank enters a new phase after nearly a decade of financial restructuring and uncertainty over its ownership.
